1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the website located at easedesigned.com and any associated subdomains, pages, and content (together, the "Site"), operated by EASE° Studio ("EASE," "we," "us," or "our").

By accessing, browsing, or otherwise using the Site — including by submitting an inquiry through our contact or lead form — you ("you," "your," or the "user") acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you do not agree with these Terms, do not access or use the Site.

These Terms apply to the Site only. Any design, branding, web, motion, consulting, or other professional engagement you commission from us is governed by a separate written agreement (a statement of work, proposal, master services agreement, or signed contract). Nothing on the Site — including pricing ranges, package descriptions, capabilities, timelines, or guarantees referenced in our marketing — constitutes an offer, a binding quote, or a contract for services. In the event of any conflict between these Terms and a signed services agreement regarding a specific engagement, the signed services agreement controls for that engagement.

2. Eligibility

To use the Site you must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and capable of forming a legally binding contract. By using the Site, you represent and warrant that you meet these requirements.

If you use the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" refers to both you and that entity.

The Site is not directed to children, and we do not knowingly collect personal information from anyone under the age of majority. If you believe a minor has provided us with personal information, please contact us using the details in Section 15 so we can take appropriate action.

3. Description of the Site and Services

EASE° is a brand, web, and motion design studio. The Site is a marketing and portfolio website whose purpose is to:

present our studio, philosophy, and method;
showcase selected work, case studies, and capabilities;
communicate the ways prospective clients can engage us; and
allow prospective clients and other interested parties to contact us through a contact / lead form.

The Site is informational and promotional in nature. We do not sell products, process payments, host user accounts, or deliver client services through the Site. Submitting the contact form starts a conversation only — it does not create a client relationship, reserve capacity, or obligate either party to anything until a separate agreement is signed.

3.1 Portfolio, case studies, and illustrative figures

Work samples, case studies, performance figures, awards, client names, and testimonials shown on the Site are presented for illustrative and promotional purposes. Results described for past projects are specific to those projects and their circumstances and are not a promise, guarantee, or prediction of the results you may obtain. Some demonstration content, sample data, or placeholder material may be illustrative rather than literal.

3.2 Availability and changes

We may modify, suspend, update, or discontinue any part of the Site — including features, content, and availability — at any time, with or without notice, and we are not liable to you or any third party for doing so. We do not guarantee that the Site will be available, uninterrupted, error-free, or secure at all times.

4. Intellectual Property and Content Ownership

4.1 Our content

Unless otherwise indicated, all content on the Site — including the EASE° name, logo, the signature curve mark, and other trademarks, as well as text, copy, graphics, illustrations, typography and lettering, layouts, design systems, animations and motion design, code, source files, photographs, video, audio, the look and feel, and the selection, arrangement, and compilation of all of the foregoing (collectively, the "Site Content") — is owned by EASE° or its licensors and is protected by copyright, trademark, trade-dress, database, and other intellectual-property laws internationally.

All rights not expressly granted to you in these Terms are reserved by EASE° and its licensors.

4.2 Limited license to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site and Site Content for your personal, non-commercial use, and — if you are a prospective client — for the internal purpose of evaluating whether to engage EASE°.

4.3 Restrictions

Except as expressly permitted by these Terms or by applicable law (for example, limited quotation for review or commentary), you may not:

copy, reproduce, republish, download, store, transmit, distribute, sell, license, or otherwise exploit the Site Content;
modify, adapt, translate, or create derivative works from the Site Content;
use the Site Content to train, fine-tune, or develop any machine-learning or artificial-intelligence model or dataset, or to perform automated text/data mining, except where such restriction is prohibited by mandatory applicable law;
use any EASE° trademark, logo, brand element, or the look and feel of the Site without our prior written permission;
remove, obscure, or alter any copyright, trademark, or other proprietary notice; or
frame, mirror, or otherwise present the Site (or any part of it) as your own.

4.4 Third-party and client materials

Certain marks, logos, names, and work shown in our portfolio and case studies belong to our clients or other third parties and are used with permission or for identification purposes only. Their appearance on the Site does not transfer any rights to you and does not imply any endorsement of you. All such third-party marks remain the property of their respective owners.

4.5 Feedback

If you send us suggestions, ideas, or feedback about the Site or our work ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate that Feedback for any purpose, without obligation, attribution, or compensation to you. Please do not send us confidential information as Feedback.

5. Permitted and Prohibited Use

5.1 Permitted use

You may use the Site only for lawful purposes, in accordance with these Terms, and in a manner consistent with its intended purpose as a portfolio and inquiry site.

5.2 Prohibited use

You agree that you will not, and will not attempt to, and will not permit any third party to:

use the Site in any way that violates any applicable law, regulation, or third-party right;
submit false, misleading, fraudulent, or impersonating information through the contact form, or pose as another person or entity;
use the contact form or any contact details published on the Site to send spam, unsolicited advertising, chain messages, or bulk commercial communications, or to harvest contact information;
upload, submit, or transmit any material that is unlawful, defamatory, obscene, harassing, hateful, threatening, infringing, or otherwise objectionable;
introduce any virus, malware, worm, trojan, or other malicious or harmful code;
attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks, or to any data not intended for you;
probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure;
interfere with, disrupt, or impose an unreasonable load on the Site or its infrastructure, including via denial-of-service attacks;
use any robot, spider, scraper, crawler, or other automated means to access, monitor, copy, or index the Site or Site Content without our prior written permission, except for legitimate search-engine indexing operating in accordance with our robots.txt;
reverse engineer, decompile, or disassemble any part of the Site, except to the extent such restriction is prohibited by applicable law; or
use the Site to infringe, misappropriate, or violate the intellectual-property, privacy, or other rights of EASE° or any third party.

We reserve the right to investigate and take appropriate action — including restricting or blocking access, removing content, and cooperating with law-enforcement authorities — against anyone who, in our sole judgment, violates this section.

6. User Submissions (Contact / Lead Form)

6.1 What you submit

The Site allows you to contact us by submitting information through our contact / lead form — which may include your name, email address, links to your existing work, the nature of your inquiry, budget range, and a free-text message (collectively, "Submissions"). Providing this information is voluntary, but certain fields may be required for us to respond.

6.2 Your responsibilities

You are solely responsible for your Submissions. You represent and warrant that:

the information you provide is accurate, current, and complete, and you will keep it accurate;
you have the right to submit the information and any links or materials you reference; and
your Submission does not violate these Terms, any law, or any third-party right, and does not contain confidential or sensitive information you are not authorized to share.

Please do not submit confidential, proprietary, or sensitive information through the form. An inquiry sent before any confidentiality agreement is in place is treated as non-confidential. If you need to share confidential material, please ask us first so we can put an appropriate agreement in place.

6.3 License to your Submissions

You retain ownership of your Submissions. By submitting them, you grant EASE° a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process your Submission for the purposes of reviewing your inquiry, responding to you, providing information, and managing our relationship with you, all in accordance with our Privacy Policy.

6.4 No obligation; how we respond

We are under no obligation to respond to, act on, or retain any Submission, and submitting the form does not create any client, advisory, fiduciary, or contractual relationship. Where we do respond, we aim to reply with either an honest decline or a next step, but no specific response, timeframe, or outcome is guaranteed by these Terms.

6.5 Unsolicited ideas

We welcome inquiries, but we do not accept or consider unsolicited creative ideas, proposals, concepts, or materials for our own use. If you nonetheless send them, you acknowledge that they are submitted on a non-confidential basis and that EASE° assumes no obligation of any kind with respect to them.

7. Advertising and Marketing

We may promote the Site and our studio through third-party advertising and analytics platforms, including Meta (Facebook and Instagram) and other social or search networks. As a result:

you may have arrived at the Site by clicking one of our ads, and your interactions may be measured for advertising attribution and optimization;
the Site may load third-party tags, pixels, cookies, or similar technologies (such as the Meta Pixel) that collect information about your visit for analytics and ad-measurement purposes, subject to your consent where required by law; and
those third-party platforms process data under their own terms and privacy policies, over which we have no control.

How we use these technologies, the legal bases we rely on, and the choices available to you (including consent and opt-out mechanisms) are described in our Privacy Policy and any cookie notice or consent banner presented on the Site.

8. Third-Party Links and Services

The Site may contain links to, or integrations with, third-party websites, platforms, tools, fonts, and services — for example, social-media profiles, portfolio platforms, font providers, embedded media, hosting and analytics providers, and advertising networks.

These third parties are independent of EASE°. We provide links and integrations for convenience only, and their inclusion does not imply our endorsement, sponsorship, or any association with, or responsibility for, the third party or its content, products, or practices.

We do not control and are not responsible or liable for any third-party site, service, or content, including their availability, accuracy, security, or privacy and data practices. Your use of any third-party site or service is at your own risk and is governed by that third party's own terms and policies, which we encourage you to review.

9. Disclaimers and Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by applicable law, EASE° and its officers, owners, employees, contractors, and licensors disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant or guarantee that:

the Site will be uninterrupted, timely, secure, or error-free;
any defects will be corrected;
the Site or the servers that make it available are free of viruses or other harmful components; or
the Site Content, including any portfolio figures, results, descriptions, or information, is accurate, complete, reliable, current, or suitable for any particular purpose.

Any reliance you place on the Site or Site Content is strictly at your own risk. No advice or information, whether oral or written, obtained from EASE° or through the Site, creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties or implied terms. Accordingly, some of the above exclusions may not apply to you, and you may have additional rights under mandatory local law that these Terms do not affect.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

(a) In no event will EASE° or its officers, owners, employees, contractors, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or relating to your access to, use of, or inability to use the Site or Site Content, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

(b) Our total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed the greater of (i) the total amount you paid to EASE° for access to the Site in the twelve (12) months preceding the event giving rise to the claim (which, for a free informational site, is typically zero), or (ii) one hundred US dollars (USD 100).

(c) Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that may not lawfully be limited. Where mandatory consumer-protection law applies, your statutory rights are not affected, and the limitations above apply only to the extent permitted by that law.

(d) The limitations in this section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and EASE°; they apply even if a limited remedy fails of its essential purpose.

This section governs the Site only. Liability arising from any paid services engagement is addressed in the separate services agreement for that engagement.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EASE° and its officers, owners, employees, contractors, agents, suppliers, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

your access to or use of the Site;
your Submissions or any content or materials you provide;
your violation of these Terms or of any applicable law or regulation; or
your infringement or violation of any third-party right, including intellectual-property or privacy rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. You may not settle any claim that affects EASE° without our prior written consent.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information — including information you provide through the contact form and information collected automatically through cookies, analytics, and advertising technologies such as the Meta Pixel.

By using the Site, you acknowledge that you have read the Privacy Policy. Please review it carefully; if you do not agree with it, do not use the Site.

13. Modifications to these Terms

We may revise or update these Terms from time to time, in our sole discretion, to reflect changes in our practices, the Site, or applicable law. When we do, we will update the "Last updated" date at the top of this document and post the revised Terms on the Site. Where the changes are material, we will use reasonable efforts to provide additional notice (for example, a notice on the Site).

Changes are effective when posted. Your continued use of the Site after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site. We encourage you to review these Terms periodically.

14. Term, Suspension, and Termination

These Terms apply for as long as you use the Site.

We may, in our sole discretion and without notice or liability, suspend, restrict, or terminate your access to all or any part of the Site at any time and for any reason — including if we believe you have violated these Terms or that your conduct may harm EASE°, other users, or third parties.

You may stop using the Site at any time. Upon any termination, the licenses granted to you under these Terms end immediately, and you must cease all use of the Site and Site Content. The provisions that by their nature should survive termination — including Sections 4 (Intellectual Property), 5.2 (Prohibited Use), 6.3 (License to Submissions), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 15 (Governing Law), and 16 (General) — will survive.

15. Governing Law and Dispute Resolution

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, are governed by and construed in accordance with applicable law, without regard to conflict-of-laws principles.

You agree that the competent courts will have jurisdiction to resolve any such dispute, except where mandatory law (for example, consumer-protection law) entitles you to bring proceedings, or requires proceedings to be brought against you, in the courts of your place of residence.

16. General

Entire agreement. These Terms, together with the Privacy Policy and any notices posted on the Site, constitute the entire agreement between you and EASE° regarding your use of the Site and supersede all prior or contemporaneous understandings on that subject. (Paid engagements are governed by their own separate agreements.)
Severability. If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing to be effective.
Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign or transfer these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
No agency. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and EASE°.
Force majeure. EASE° will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, outages, network or hosting failures, labor disputes, or governmental action.
Headings and interpretation. Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation."
Language. These Terms are drafted in English. Any translation is provided for convenience only; in the event of a conflict, the English version controls, except where mandatory local law requires otherwise.
